About the Company

Polska Spółka Gazownictwa sp. z o.o. is the largest company in PGNiG Capital Group. It employs over 11,500 employees, operates throughout Poland, and distributes gas through more than 190,000 km of gas pipelines.

PSG is a modern company with rich traditions, drawing on the experience of over 160 years of Polish gas industry history. It is the largest operator of a gas distribution system in Europe.

Polska Spółka Gazownictwa is the operator of the gas distribution system in Poland. The company’s main task is to reliably and safely transport fuel gases through the distribution network throughout the country, directly to end-users and the networks of other, local operators. The company provides transport services of fuel gas based on contracts with partner businesses which trade in fuel gas.

PSG takes care of network traffic management, expansion, maintenance and repairs of networks and devices, and measurement of the quality and quantity of the gas which is transported.

Board of Directors

Mr. Jarosław Wróbel is a graduate of master’s studies and doctoral studies at the University of Economics in Katowice. He completed post-graduate studies at the Faculty of Electrical Engineering at the Warsaw University of Technology, as well as Executive MBA management studies (University of Gdańsk and RMS Erasmus University) and Post-MBA (University of Gdańsk and SBS Swiss Business School).

He has been active in the power industry since 1992. From 1993 to 1999 he was associated with Elektrociepłownia “Będzin” SA, where he was responsible for the development and implementation of the restructuring program and the preparation and implementation of the first capital privatization process in the Polish power industry, using the Stock Exchange mechanism (Debut of the Year 1998).

Since 2002, he has been associated with PGNiG SA, including serving as Vice President for Economic Affairs of Górnośląska Spółka Gazownictwa sp. z o.o. between 2003 and 2013. He was the originator and sponsor of the program for implementing the Integrated Platform in GSG, supporting the operation of processes based on ERP and CIS solutions. Then he carried out projects for companies from the fuel, energy and IT sectors. He co-created the IT/OT model for PGNiG Group, for example.

From January 8 to March 1, 2016, he was a Member of the Management Board of Polska Spółka Gazownictwa sp. z o.o.; from March 2, 2016 to February 16, 2018, he was the President of the Management Board of Polska Spółka Gazownictwa sp. z o.o.

Under his leadership, the company developed and implemented a strategic package of changes for the Polish gas distribution industry for 2016–2022, and in 2017 won the Polish Quality Award in the category of large economic organizations.

From April 17, 2018 to January 9, 2020, he was the President of the Management Board at ORLEN Południe SA. He was a co-founder and sponsor of a construction program at ORLEN Południe SA to create a modern bio-refinery at the Trzebinia and Jedlicze Refineries, which is a competence center in biocomponents and biofuels for ORLEN SA Capital Group.

From January 10, 2020 to March 1, 2021, he was Vice President of the Management Board of PGNiG S.A. and Member of the Board of Directors of PGNiG Upstream Norway AS. And from October 28 to November 11, 2020, he was the acting President of the Management Board of PGNiG S.A.

From March 2, 2021, he is the Vice President for Investments and Innovation of the Management Board of Grupa Lotos S.A. 

He has completed many training courses in management, finance, and IT, and has written publications in trade magazines. General Mining Director, 2nd Degree.

Mr. Jarosław Wróbel was appointed to the position of Chairman of the Supervisory Board at PSG sp. z o.o. by the PSG Shareholders’ Meeting (PGNiG SA).

Mr Przemysław Cieślak is a graduate of the Faculty of Law and Administration at the University of Łódź.

In 2010, he became an official legal counsel of the District Chamber of Legal Counsels in Łódź. Since 2010, he has been a partner in the law firm INTER PARTES Cieślak i Włodarczyk sp. j. He has participated in many courses and professional training sessions.

He has many years of professional experience with legal services for companies and advisory services for economic entities from the insurance, automotive, construction, fuel, and chemical sectors, including companies listed on the Stock Exchange.

From 2014 to 2015 he was a member of the Supervisory Board of Rawskie Wodociągi i Kanalizacja sp. z o.o. From 2015 to 2018, he was the chairman of the Supervisory Board of Tomaszewskie Centrum Zdrowia Sp. z o.o.

Since 2018, he has been the chairman of the Supervisory Board of REMZAP sp. z o.o., part of the Grupa Azoty Zakłady Azotowe ‘Puławy’ Spółka Akcyjna.

Mr. Jacek Goliński graduated from the Faculty of Economics and Management of Koszalin University of Technology (MA studies, 2014). In 2017, he completed post-graduate studies in Agricultural Economics and Agroenergy, and in 2018 he completed the Executive Master of Business Administration post-graduate studies at the University of Commerce and Services in Poznań.  

Since December 2019, he has been the Chairman of the Management Board at Energa SA, managing and supervising the company’s resources within the collective management. He supervises the area of strategy which sets the directions of development of the ENERGA Capital Group.

Since October 2019, he has been the Chairman of the Management Board at ORLEN Paliwa sp. z o.o., where he ensures the company’s development, e.g., by seeking solutions aimed at creating new processes, mechanisms, technologies, and solutions or improving the ones being used by the company, as well as improving the products manufactured or distributed by the company and the services provided.

Since May 2018, he has been the Chairman of the Management Board of Inowrocławskie Kopalnia Soli "Solino" SA, managing the company’s operations and supervising the implementation of its key performance indicators.

Since May 2017, as the General Director of the Gdańsk Branch at Energa Operator SA, he has implemented business processes, including operational management of network assets, optimization of investment processes in terms of the effectiveness of the expenditures incurred, and optimization of processes to increase the Branch’s economic efficiency.

In 2014, he ran his own business in energy consulting and was the Regional Sales Manager at PKP Energetyka SA. From 2007 to 2013, he was associated with Energa Obrót SA, where he was the Management Board Representative and supervised the implementation of commercial plans, building a purchasing portfolio and taking direct care of strategic clients. In the period 2004–2007, he coordinated tasks in the commercial area, e.g. in Carlsberg Polska, Wella Polska, and ZT Kruszwica.

Mr. Jacek Goliński was appointed to the position of Member of the Supervisory Board at PSG sp. z o.o. by the PSG Shareholders’ Meeting (PGNiG SA).

Mr. Krzysztof Zając is a graduate of the Faculty of Law and Administration at the University of Warsaw. He has completed legal, counselling, and legislative training. He has written many bills, regulations, opinions, and contracts.

From 1993 to 1999, he worked in the Office of the Council of Ministers and the Chancellery of the Prime Minister. He also gained professional experience working at the Government Legislation Center and the Institute of National Remembrance.

Since 1994, he has been working in entities managing EU funds, including the Implementing Authority for European Projects, Digital Poland Project Center, and the Center for European Projects Service of the Ministry of Interior and Administration, gaining knowledge and experience in the area of obtaining, spending, and accounting for EU funds.

Since 2002, he has been the owner of the Krzysztof Zając Law Firm.

He is a founding member of the Polish Legislative Society, the Garwolin Region Entrepreneurship Association, the Garwolin Association, the European Initiative Support Association, the Garwolin County Forum Association, and was a founding member and the first chairman of the supervisory board of Garwolin Housing Estate.

Mr. Krzysztof Zając was appointed to the position of Member of the Supervisory Board at PSG sp. z o.o. by the Minister of Energy.

Ms Anna Zychowicz is a graduate of the Faculty of Law and Administration at the Maria Curie-Skłodowska University in Lublin (Law Faculty). She also completed postgraduate studies in Investor Relations and Financial Communication, Warsaw School of Economics (2010), in Real Estate Appraisal, Warsaw School of Management-University (2014) and Restructuring and Bankruptcy Law, at the Lazarski University (2019).

She has been a legal advisor since 2013 - entered on the list of legal advisors of the District Chamber of Legal Advisors in Lublin. She specializes in civil law, commercial companies law, commercial law and labor law.

She has many years of experience in providing comprehensive legal assistance to businesses, in particular capital companies from the construction sector. She has expertise in the field of corporate services for companies. She has participated in mergers and division of capital companies. Moreover, while working in a public company, she gained extensive professional experience, including in the area of investor relations, performing disclorure requirements and transparency of activities.

She handles the processes of concluding (risk analysis and assessment, and negotiations), implementing (claims management) and final settlement of construction contracts, relating to investments on both domestic and foreign markets.
