About the Company

Polska Spółka Gazownictwa sp. z o.o. employs over 11,500 employees, operates throughout Poland, and distributes gas through over 210,000 km of gas pipelines.

PSG is a modern company with rich traditions, drawing on the experience of over 170 years of Polish gas industry history. It is one of the largest operators of a gas distribution system in Europe.

Polska Spółka Gazownictwa is the operator of the gas distribution system in Poland. The company’s main task is to reliably and safely transport fuel gases through the distribution network throughout the country, directly to end-users and the networks of other, local operators. The company provides transport services of fuel gas based on contracts with partner businesses which trade in fuel gas.

PSG takes care of network traffic management, expansion, maintenance and repairs of networks and devices, and measurement of the quality and quantity of the gas which is transported.

Board of Directors

Legal adviser at the District Chamber of Legal Advisers in Warsaw, a graduate of the Faculty of Law and Administration at the University of Warsaw and the School of American Law organised by the University of Florida Fredric G. Levin College of Law. Attendee of the doctoral seminar at the Faculty of Law and Administration at the University of Warsaw and a graduate of postgraduate studies in personal data protection and classified information organised by the Faculty of Law and Administration of the Cardinal Stefan Wyszynski University (UKSW).

Author of over a dozen publications, including administrative and civil law, and co-author of a paper on labour and social security law. Member of the Expert Team for the Ownership Supervision Reform at the Ministry of State Assets. 

Currently, Director of the Legal and Compliance Department at PGNiG S.A. Previously, he practised as a legal advisor and held managerial positions in the legal departments of energy sector companies.

He also served as an expert on legislation in the Sejm Analysis Bureau of the Chancellery of the Sejm. He has hands-on knowledge and experience in corporate operations, including the functioning of supervisory boards.

Statement by Mr Bartłomiej Dziliński, dated July 6, 2022:

I declare that I am a member of the Supervisory Board of Energa-Operator S.A. based in Gdańsk.

Mr. Krzysztof Zając is a graduate of the Faculty of Law and Administration at the University of Warsaw. He has completed legal, counselling, and legislative training. He has written many bills, regulations, opinions, and contracts.

From 1993 to 1999, he worked in the Office of the Council of Ministers and the Chancellery of the Prime Minister. He also gained professional experience working at the Government Legislation Center and the Institute of National Remembrance.

Since 1994, he has been working in entities managing EU funds, including the Implementing Authority for European Projects, Digital Poland Project Center, and the Center for European Projects Service of the Ministry of Interior and Administration, gaining knowledge and experience in the area of obtaining, spending, and accounting for EU funds.

Since 2002, he has been the owner of the Krzysztof Zając Law Firm, which specialises in providing comprehensive services to business entities and the professional body of civil engineers.

He is a founding member of the Polish Legislative Society, the Garwolin Region Entrepreneurship Association, the Garwolin Association, the European Initiative Support Association, the Garwolin County Forum Association, and was a founding member and the first chairman of the supervisory board of Garwolin Housing Estate.

Mr Krzysztof Zając also gained professional experience as a board member, chairman and member of supervisory boards of, among others, PGE EJ1 sp. z o.o., PKS in Garwolin S.A., PSG sp. z o.o.

Statement by Mr. Krzysztof Zając, dated March 25, 2019:

Mr. Krzysztof Zając, Member of the Supervisory Board at PSG sp. z o.o., declares that his relatives are not employed and do not perform work under any other legal relationship for PSG sp. z o.o. or companies from PGNiG Group.

Mr. Krzysztof Zając was appointed to the position of Member of the Supervisory Board at PSG sp. z o.o. by the Minister of State Assets.

Graduate of the Faculty of Law and Administration at the University of Warsaw, where she completed her master's degree and postgraduate studies in corporate law.

She has many years of experience in corporate governance of companies with direct and indirect participation of the State Treasury.

In the years 2003-2008 professionally associated with Poczta Polska, where from 2007 she worked as a Counsellor in the Office of the General Director.

From 2008 to 2012 she was employed in the Department of Posts of the Ministry of Infrastructure and then of the Ministry of Administration and Digitalization, where she was in charge of corporate governance of Poczta Polska S.A. on behalf of the minister responsible for communications.

From March 2012 to November 2016, she was professionally involved with Bank Pocztowy S.A., where she worked in the Legal Services Office and the Management Office. Her area of competence included coordinating organisational changes and cooperation with central offices including the Polish Financial Supervision Authority, she also served as Deputy Operational Risk Coordinator in the Organisational, Legal and Security Division.

In 2017, she joined the Group Management Department of Polskie Górnictwo Naftowe i Gazownictwo S.A.

Currently, she is employed in the Capital Group Office of ORLEN S.A., where she is in charge of corporate governance of companies in the gas segment.
