About PSG

A citizen of Gdańsk, manager, doctor of law, and academic lecturer. Graduate of the Faculty of Law and Administration at the University of Gdańsk.

After completing attorney-at law’s training and passing the professional examination, he obtained the title of attorney-at-law. Prior to that, he successfully passed the exam for the candidates for supervisory board members with the participation of the State Treasury before a commission appointed by the Minister of the Treasury, obtaining the relevant qualifications to serve on these boards.

He gained professional experience in providing legal services to entities in the fuel and construction sectors, in the field of regulated activities and so-called special purpose vehicles sectors (with particular emphasis on preparing and conducting investment processes), working in law firms and running an individual practice as an attorney-at-law. He was the head of the legal department of a private defense-sector company (including execution and design of special technologies) with a solid reputation in both domestic and international markets.

He also gained experience in the government and local government sectors. In recent years, he held the position of a member of the management board and director of legal and financial affairs in a private company specializing in the implementation of linear investments, which has been present in the industry for over 60 years.

For over a decade, he has been serving on the supervisory boards of commercial law companies, including those in the financial markets, telecommunications, healthcare, and leisure industries. Among other things, in the past, he was a member of the supervisory board of a leading Polish telecommunications operator and cybersecurity service provider.

Currently, he is a member of the supervisory board of the Armenian Stock Exchange (AMX) in Yerevan, appointed by the Warsaw Stock Exchange S.A. (its majority shareholder).

He was appointed to the Management Board of Polska Spółka Gazownictwa sp. z o.o. with effect from 19 August 2024.

Statement by Mr. Szymon Paweł Moś, dated August 14, 2024:

Mr. Szymon Paweł Moś, Member of the Management Board at PSG sp. z o.o., declares that his relatives are not employed and do not perform work under any other legal relationship for PSG sp. z o.o. or companies from ORLEN Group.

Current functions: Member of the Management Board of Polska Spółka Gazownictwa Sp. z o.o., registered in Tarnów; Member of the Supervisory Board of the Armenian Stock Exchange OJSC  (AMX), registered in Yerevan.

He graduated from the Warsaw School of Economics with a degree in Finance and Banking, subsequently completing doctoral studies in the Department of Enterprise Science. He also undertook postgraduate studies in energy at the AGH University of Science and Technology in Krakow, specialising in renewable energy sources, biogas and biomethane. He has over 20 years' experience in financial management, accounting and controlling.

He began his professional career at Deutscher Kraftverkehr in Düsseldorf. From 1998 to 2008, he was with the Zasada Group, serving as financial controller and then financial director at Polskie Autobusy. In 2009, he joined the Porsche Holding Group in Salzburg as CFO and a member of the PGA Polska Management Board. He was responsible for the accounting, finance, controlling, HR and IT departments.

Since 2015, he has served as Chief Financial Officer (CFO) and board member at Anwil S.A. (Orlen Group), ENERIS Group and Ferrovial Group. In these roles, he has managed finance, controlling, IT, administration and treasury.

He has experience in preparing and implementing investment projects and M&A transactions, as well as implementing development and restructuring strategies for capital groups. He has managed investment projects in the energy, road infrastructure, facility management, waste management, recycling and petrochemical sectors. He is also experienced in advanced financial modelling, corporate risk management, and the implementation of management information systems.

Statement by Mr. Arkadiusz Kazana, dated November 18, 2024:

Mr. Arkadiusz Kazana, Member of the Management Board at PSG sp. z o.o., declares that his relatives are not employed and do not perform work under any other legal relationship for PSG sp. z o.o. or companies from ORLEN Group.

He graduated from the Faculty of Mechanical Engineering at Wrocław University of Technology with a degree in Mechanical Engineering. He has also completed several postgraduate courses, including 'Gas Distribution and Storage' at the Warsaw University of Technology, 'Project Management' at the Warsaw School of Economics, and an MBA programme organised by the Gdańsk Foundation for Management Education and the University of Gdańsk in cooperation with the IAE Aix-en-Provence Graduate School of Management. He holds a construction licence to perform technical functions in the field of gas networks and installations, as well as a project management certificate in the PRINCE2 methodology.

He has almost 40 years' experience working in key management roles in the gas sector. From 1985 to 2009, he worked at Biuro Studiów i Projektów Gazownictwa Gazoprojekt S.A., serving as Vice President of the Management Board from 1995. From 2009 to 2015, he was a Member of the Management Board at GAZ-SYSTEM S.A. From 2011 to 2014, he was Vice-President of the Management Board at Polskie LNG S.A. Subsequently, he was President of the Management Board at Nafta-Gaz-Serwis Technologie sp. z o.o. and Infrak Invest sp. z o.o., as well as Director of the Project Office at Poner sp. z o.o.

Throughout his career, he oversaw the implementation of major infrastructure projects, including the construction of the LNG terminal in Świnoujście, and managed the national gas transmission system. He also oversaw the implementation of nationally and internationally important investments, including transit gas pipelines, gas compressor stations, and research projects on new technologies.

He has participated in numerous courses, training sessions and seminars on finance, business management, project management and quality management. He is qualified to sit on the supervisory boards of companies with a sole shareholder that is the State Treasury.

Statement by Mr. Wojciech Kowalski, dated January 2, 2025:

Mr. Wojciech Kowalski, Member of the Management Board at PSG sp. z o.o., declares that his relatives are not employed and do not perform work under any other legal relationship for PSG sp. z o.o. or companies from ORLEN Group.

Graduate of the Krakow University of Economics in Finance and Banking and the Małopolska University of Economics in Tarnów in Accounting and Financial Management, as well as postgraduate studies in energy market (AGH University), as well as in energy law and management of energy companies (Lazarski University). Graduate of the Executive MBA programme (Gdansk Foundation for Management Development).

He began his career in the gas industry in 2001 at Karpacka Spółka Gazownictwa, where he followed a full career path from employee to Member of the Management Board and Deputy Managing Director for Economy and Finance, responsible for overseeing the financial area, implementation of SAP CO and FI, consolidation of the banking system, and implementation of project management methodology. He then served as Director of Finance and Controlling, implementing, among other things, the centralisation of the accounting system.

From 2013 to 2017, he worked for Polska Spółka Gazownictwa as Director of the Tariffs Department, where he created tariff policy, was responsible for risk management and relations with the ERO, overseeing tariff revenues. He implemented tariff centralisation projects following the consolidation of six DSO companies, the acquisition of distribution assets, and the amendment of system regulations.

As of 2018, he was engaged in consulting activities in the energy sector. From 2019 to 2023, he served as Vice President and then President of the Management Board, having responsibility for the financial, procurement, and commercial areas of automation, electrical, and industrial system projects.

As of December 2022, President of the Management Board of Enesta sp. z o.o. (PGE Group), a multiutility company that provides distribution and trading services for power, gas, and heat. He oversaw the process of organisational and financial restructuring in a remediation mode, ending with the approval of an arrangement with creditors and the achievement of positive financial results.

He holds the following certificates: PRINCE2 and SLII Situational Leadership, as well as eligibility to sit on supervisory boards of State Treasury companies.
